Portfolio Rights

Upon completion of a project, we reserve the right to display and link to your completed project as part of our portfolio and to write about the project on our Site, in articles, and in presentations for self-promotional purposes, unless explicitly agreed otherwise in writing.

CLIENT RELATIONSHIPS AND PROJECTS

Project Agreements

All client projects will be governed by separate agreements or statements of work that outline the specific services, deliverables, timelines, and payment terms. These Terms complement any such agreements but do not replace them.

Client Responsibilities

Clients are responsible for:

  • Providing accurate and timely information, feedback, and approvals
  • Securing necessary rights and permissions for any content or materials provided to us
  • Meeting agreed-upon timelines for reviews and approvals
  • Adhering to payment schedules as outlined in project agreements

Revisions and Change Orders

Initial project scopes will be clearly defined in project agreements. Requests for revisions or changes beyond the agreed-upon scope may result in additional charges and timeline adjustments.

CONFIDENTIALITY

Client Information

We respect the confidentiality of information shared by clients during the course of our relationship. We will not disclose confidential information to third parties without consent, except as required by law or as necessary to fulfill our Services.

Non-Disclosure

Specific confidentiality terms may be outlined in separate non-disclosure agreements. In the absence of such agreements, we will treat non-public information shared during the course of our engagement with reasonable care.

PAYMENT TERMS

Pricing

Pricing for our Services will be outlined in project proposals and agreements. All prices are quoted in USD unless otherwise specified.

Payment Schedule

Unless otherwise agreed in writing, our standard payment terms require:

  • An initial deposit before work commences
  • Progress payments at defined project milestones
  • Final payment upon project completion

Late Payments

Invoices not paid within the specified terms may incur late fees. We reserve the right to suspend or terminate Services for accounts with outstanding balances.

TERMINATION

Termination by Client

Clients may terminate Services according to the terms outlined in their project agreements. Termination may result in payment obligations for work completed and costs incurred up to the termination date.

Termination by Chatfield Square

We reserve the right to terminate or refuse service to anyone for any reason at any time. We may particularly terminate service if a client:

  • Breaches these Terms or project-specific agreements
  • Fails to provide necessary information, feedback, or approvals
  • Fails to make payments according to agreed schedules
  • Requests work that violates laws or ethical standards

LIABILITY LIMITATIONS

Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CHATFIELD SQUARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO CHATFIELD SQUARE FOR THE SERVICES IN QUESTION.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Chatfield Square, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Site and Services, your violation of these Terms, or your violation of any rights of another.

DISPUTE RESOLUTION

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state of Colorado, without regard to its conflict of law provisions.

Resolution Process

In the event of any dispute arising from or relating to these Terms or the Services:

  1. We encourage you to contact us directly to seek resolution.
  2. If the matter cannot be resolved directly, both parties agree to attempt to resolve the dispute through mediation before resorting to arbitration or litigation.

These Terms, together with any project-specific agreements, constitute the entire agreement between you and Chatfield Square regarding the Site and Services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

Assignment

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or strikes.
